1. Agreement to Terms
By accessing or using the services provided by TAQON POWERED BY INTELLIGENCE L.L.C ("TAQON," "we," "our," or "us"), including our website, AI-powered platforms, and related products (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.
These Terms apply to all users, including those interacting with TAQON via WhatsApp Business API and other messaging channels.

2. Description of Services
TAQON provides AI-powered digital ecosystem solutions, including but not limited to:
- Enterprise Intelligence systems (CRM, ERP, HR, Finance, SCM)
- Hospital Management Systems (HMS) with AI capabilities
- AI-powered e-commerce solutions (including WhatsApp commerce, inventory management, multi-currency payments, multilingual support)
- Integrated AI platforms and automation systems
- Applied AI solutions (predictive analytics, computer vision, NLP)
- Digital twin and geospatial intelligence solutions
- AI strategy, consulting, and implementation services
3. User Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have legal capacity to enter into binding agreements
- If acting on behalf of an organization, be authorized to bind that entity
4. WhatsApp Business API Usage & Messaging Compliance
When using TAQON services via WhatsApp or other messaging platforms, you agree that:
- You will only send messages to users who have provided explicit opt-in consent
- You will comply with all applicable WhatsApp Business Messaging Policies and Meta Commerce Policies
- You will not send unsolicited messages, spam, or misleading communications
- All marketing or promotional messages will follow approved templates where required by Meta
- Users must be provided with a clear and accessible opt-out mechanism (e.g., "STOP" or equivalent)
- You are responsible for ensuring message content is lawful, accurate, and not deceptive
- You will not use the Services for bulk unsolicited messaging or unauthorized automation
TAQON reserves the right to suspend or terminate access if misuse of WhatsApp messaging is detected.
5. User Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain confidentiality of account credentials
- Use Services only for lawful purposes
- Comply with UAE laws and applicable international regulations
- Ensure lawful collection and use of end-user data (including WhatsApp users)
- Not interfere with or disrupt systems, networks, or services
6. Data Protection & Privacy
TAQON processes data in accordance with applicable data protection laws, including UAE Personal Data Protection Law (PDPL) where applicable. We may process data including but not limited to:
- Account information
- Transaction data
- Messaging data (including WhatsApp communications where applicable)
We do not sell personal data. Where applicable, data is used solely for:
- Service delivery
- System improvement
- Security and fraud prevention
- Customer support
7. Intellectual Property Rights
All content, software, models, and technology provided through the Services are owned by TAQON or its licensors, including:
- AI models and algorithms
- Software and platform code
- Trademarks, branding, and logos
- Documentation and training materials
You may not copy, modify, distribute, reverse engineer, or exploit any part of the Services without prior written consent.
8. Prohibited Activities
You agree not to:
- Use Services for unlawful, harmful, or fraudulent purposes
- Send spam, unsolicited messages, or unauthorized WhatsApp communications
- Attempt unauthorized access to systems or data
- Transmit malware, viruses, or harmful code
- Reverse engineer or extract source code
- Use AI outputs to generate illegal, harmful, or misleading content
- Resell or redistribute Services without authorization
9. Service Availability
We aim to provide continuous availability but do not guarantee uninterrupted service. Services may be interrupted due to:
- Maintenance and updates
- System failures or technical issues
- External factors beyond our control
10. Payment Terms
Where Services are paid:
- Fees are defined in contracts or published pricing
- All fees are exclusive of applicable taxes unless stated otherwise
- Payment terms follow agreed commercial contracts
- Non-payment may result in suspension or termination of Services
11. Confidentiality
Both parties agree to maintain confidentiality of proprietary or sensitive information exchanged during service delivery. This obligation survives termination of the agreement.
12. Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. TAQON does not guarantee that:
- Services will be error-free or uninterrupted
- AI outputs will always be accurate or suitable for all purposes
- Services will meet all user requirements
13. Limitation of Liability
To the maximum extent permitted by UAE law, TAQON shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or data
- Business interruption or opportunity loss
Total liability shall not exceed the amount paid by the user in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless TAQON and its affiliates from any claims arising from:
- Your use of Services
- Violation of these Terms
- Violation of applicable laws or third-party rights
- Misuse of WhatsApp or messaging functionality
15. Termination
Either party may terminate this Agreement by providing prior written notice, including via email or other electronic communication. We may suspend or terminate access to the Services:
- For violation of these Terms
- For misuse of messaging channels (including WhatsApp)
- Upon material breach
Upon termination, access to the Services will cease immediately.
16. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of UAE courts.
17. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
